Terms of Service – lensless

These Terms of Service (“Terms”) are a legal agreement between lensless (“lensless”, “we”, “our”) and the individual or entity (“you”, “your”, “Customer”) who creates an account, publishes or runs a Flow, or otherwise uses our software-as-a-service platform, websites, APIs, SDKs, or mobile applications (collectively, the “Service”).
By accessing or using the Service — including browsing a public Flow — you agree to be bound by these Terms. If you do not accept them, do not use lensless.
1 Definitions

| Output | Images, text, JSON, or other artefacts produced by a Run. |
| User Content | Anything uploaded or supplied by you (prompts, weights, datasets, Output, etc.). |
Additional capitalised terms have the meanings given elsewhere in these Terms or in the Privacy Policy and Data Processing Addendum (“DPA”).
2 Eligibility & Account Security
- Minimum age 13. If you are under 13 (or the age of digital consent in your country) you may not use lensless. Accounts for minors 13+ must be created and managed by a parent or legal guardian.
- Accurate information. You must provide complete and accurate registration and payment data and keep it up to date.
- Account credentials. You are responsible for all activity that occurs under your Account. Keep your API keys and passwords confidential.
- Organisation accounts. If you create an Account on behalf of a company, you represent that you have authority to bind that entity and that “you” in these Terms refers to the company.
3 Licence & Acceptable Use
3.1 Our licence to you
Subject to these Terms and timely payment of all fees, lensless grants you anon-exclusive, non-transferable, revocable licence to access and use the Service for your internal or commercial purposes.
3.2 Your licence to us
You grant lensless and its subprocessors a world-wide, royalty-free permission to host, process, and transmit User Content solely as necessary to provide the Service and (if you opt in) to train models.
3.3 Prohibited conduct
You agree not to:
- Reverse-engineer or scrape the Service.
- Upload or generate content that is illegal, harmful, harassing, hateful, infringing, or sexually exploitative of minors.
- Attempt to re-identify individuals in de-identified data.
- Export or provide Outputs in violation of U.S. or EU export-control laws (e.g. to restricted end-users or for prohibited military use).
- Use lensless to build or improve any competing inference or hosting platform unless we have signed a specific OEM agreement with you.
lensless may remove content, suspend Accounts, or terminate these Terms for violations at its sole discretion.
4 Fees, Payments & Payouts
- Pricing. Run prices, storage tiers, and transaction fees may change with 14 days’ notice (email or banner).
- Billing. All payments are processed by Stripe, Inc. You authorise lensless (via Stripe) to charge your selected payment method for Fees, taxes, and chargebacks.
- Credits. Credits do not currently expire. lensless reserves the right to introduce an expiration period in the future (minimum 30 days’ notice under §12). Credits are otherwise non-refundable unless required by law.
Credits cannot be redeemed for cash or transferred between accounts.
If lensless permanently discontinues the Service, any unused Credits will expire on the shutdown date and have no cash value, except to the extent a refund is required by applicable law. Where commercially feasible, lensless will make reasonable efforts to offer a migration path to an alternative service. - Public Flow revenue. End-users pay the price set by the Flow creator. lensless passes 100 % of the gross payment (minus Stripe processing fees) to the creator’s connected Stripe account after the flow run completes successfully and the end-user payment has settled.
• The creator’s lensless wallet is separately debited for compute costs and a platform fee per Run. lensless may deduct applicable taxes or chargebacks from the payout.
• If you price a Flow in any other currency (e.g. BRL / EUR) the proceeds are credited to your lensless wallet and may be spent on future runs or through the dashboard, but are not transferred to a Stripe balance. - Taxes. Prices exclude VAT/GST unless stated. Where required, lensless will collect and remit taxes and you will supply accurate tax registration numbers.
5 Intellectual Property
- lensless IP. The Service, brand, and all underlying code, designs, and template Flows are owned by lensless or its licensors. All rights not expressly granted are reserved.
- User IP. You retain all rights in User Content except the licence in § 3.2. You are responsible for securing any copyright, model release, or data-protection permissions needed for your uploads and Outputs.
- Feedback. Suggestions are optional but, if given, you grant lensless a perpetual, irrevocable licence to use them without obligation or payment.
6 Privacy & Data Protection
Processing of personal data is governed by the Privacy Policy. Where lensless acts as a processor of Flow runtime data, the DPA(with EU SCC Module 2, UK Addendum, and LGPD clauses) applies and is hereby incorporated by reference.
7 Disclaimers
- AS IS / AS AVAILABLE. The Service and Outputs are provided without any warranty (express or implied) including fitness for a particular purpose, accuracy, non-infringement, or availability.
- No medical or legal advice. AI-generated Outputs are not a substitute for professional advice. You assume all risk from reliance on Outputs.
8 Limitation of Liability
To the maximum extent permitted by law:
- Indirect damages excluded. Neither party will be liable for lost profits, loss of data, or indirect/consequential damages.
- Cap on damages. lensless’s total aggregate liability arising out of these Terms is limited to the fees you paid to lensless in the 3 months preceding the event.
Some jurisdictions do not allow certain disclaimers; in that case the liability will be limited to the minimum permitted by applicable law.
9 Indemnity
You will defend and indemnify lensless, its officers, and employees against any third-party claim arising from (a) your User Content, (b) your breach of these Terms, or (c) your violation of law or third-party rights.
10 Suspension & Termination
- By you. You may delete your Account at any time; prepaid Credits will not be refunded.
- By lensless. We may suspend or terminate the Service or your Account with notice (or immediately for egregious AUP breaches). Sections 3–9 and 11 survive termination.
- lensless may close Accounts that breach these Terms, including theAcceptable Use rules in §3. Unused Credits in a terminated Account are forfeited unless the termination was clearly in error.
11 Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and the parties consent to personal jurisdiction there. Consumers in the EEA/UK retain mandatory rights to bring claims in their home jurisdiction.
12 Changes to these Terms
We may modify these Terms by posting a revised version and updating the “Last updated” date. Changes take effect 14 days after posting (immediately for new features or legal requirements). Continued use of the Service after that date constitutes acceptance.
